Since 2004, Inalca S.p.A. has voluntarily adopted an “Organisational, management and control model” in application of Legislative Decree 231/2001 (the “Organisational Model”) concerning the discipline of the administrative responsibility of bodies and also produced a Code of Ethics identifying the guidelines suggested for all those operating in its name and on its behalf.

 

ORGANISATIONAL MODEL PURSUANT TO LEGISLATIVE DECREE 231/01
The Organisational Model, in fulfilment of the guidelines formulated by Confindustria, provides a system of procedures and controls aimed at reducing the risk of the crimes provided by Legislative Decree 231/2001 being committed and comprises a general part and special parts describing the system of procedures and controls applied by the Company for each sensitive process.
In order to carry out the duty to promote the effective and concrete implementation of the model, also through controlling corporate behaviour in sensitive areas, as it is constantly informed on significant activities, the Vigilance Body was set up, again in fulfilment of that provided by Legislative Decree 231/2001.
By decision of the Board of Directors on 12.09.11, the Organisational Model was recently subjected to a periodical review, also in the light of the latest significant updates made to Legislative Decree 231/01.
The Code of Ethics, on the other hand, describes all the corporate values and has been produced as an orientation and guide for decision making and for making choices which, due to their intrinsic subjectivity, may imply an “ethical risk” from the viewpoint of damaging the legitimate rights and expectations of external subjects with working relations with the company and the corporate workforce.
Again by decision of the Board of Directors on 12.09.11, the Code of Ethics was subjected to a periodical review, and can be consulted and/or downloaded from the link below.
